Terms and conditions

Metal is for businesses, not consumers. You pay a monthly fee plus a fee per paid ticket, invoiced monthly, and can stop at the end of any month. Payments from your customers go straight to your own Stripe account. Your data stays yours and can be exported at any time.
1.Scope
These terms apply to every use of Metal (usemetal.app), a platform for websites, event registration, payments, newsletters and invoicing, operated by [Company name], [Street, ZIP City, Switzerland] ("we", "us"). They apply between us and the business that uses Metal ("you").
Metal is offered to businesses only: companies, associations and self-employed people acting in their professional capacity, not to consumers.
Your own terms apply only if we agree to them in writing.
2.Contract
The contract is concluded when we confirm your order or the start of your setup in writing; an email is enough. The prices and the scope agreed then apply, together with these terms.
3.What Metal does
Depending on what we set up for you, Metal includes:
- a website on your own domain, in one or more languages;
- event pages with registration, ticket prices, capacity limits, discount codes and vouchers;
- online payment through your own Stripe account, and recording payments made otherwise (e.g. bank transfer or TWINT);
- confirmation emails with QR codes and check-in at the door;
- invoices and credit notes for paid registrations, in your name;
- a newsletter, contact forms and an overview of your registrations, subscribers and contacts, with CSV exports.
The basic setup is included: up to 5 pages, a gallery, an FAQ and 3 event types, in your branding. Anything beyond that, such as integrations with a webshop or other systems or more complex landing pages, is quoted and agreed separately.
We develop Metal continuously and may change, extend or replace features, as long as what you signed up for keeps working in substance.
4.Fees and payment
Unless agreed otherwise, the list prices apply:
- Switzerland: CHF 20 per month + 2% per paid ticket (min CHF 0.50, max CHF 9)
- EU: €20 per month + 2% per paid ticket (min €0.50, max €9)
The ticket fee is charged on the amount actually collected per registration. Free tickets, voucher credit and refunded registrations cost nothing.
We invoice monthly after the end of each month. Invoices are payable within 30 days. Prices are net; value added tax is added where we have to charge it.
Payment processing fees (e.g. Stripe) are charged to you directly by the payment provider and are not part of our fees.
We announce price changes at least 30 days in advance by email. If you do not accept a change, you can end the contract before it takes effect.
5.Payments from your customers
Card payments from your customers go directly to your own Stripe account, under your contract with Stripe. Your money never passes through us.
You are the seller towards your customers. Refunds, cancellations and disputes are between you and them; Metal gives you the tools to handle them.
6.Your responsibilities
- You are responsible for the content you publish and the events you offer, and for complying with the law in doing so.
- You provide your own legal information towards your customers (imprint, privacy policy, terms for your events).
- Invoices are issued in your name from the details you enter (address, tax number, VAT treatment). You are responsible for these details being correct and for your own tax obligations.
- You send newsletters only to people who have agreed to receive them.
- You keep your login secure and tell us without delay if you suspect misuse.
We may block content or access that is clearly unlawful or puts the platform or others at risk, and will tell you about it.
7.Data protection
You are the controller for the personal data of your customers, subscribers and contacts. We process it on your behalf and only to provide Metal, in line with the Swiss Federal Act on Data Protection (FADP) and, where it applies, the EU General Data Protection Regulation (GDPR). A data processing agreement is available on request and forms part of the contract.
We use carefully selected service providers for hosting, the database, sending emails and spam protection. We will tell you about them on request and inform you before adding new ones.
8.Availability
We do our best to keep Metal available around the clock, but cannot guarantee uninterrupted operation. Where possible, we schedule maintenance at quiet times and announce longer interruptions in advance.
9.Your data
Your content and your customer data remain yours. You can export your registrations, subscribers, contacts and payments as CSV at any time.
After the contract ends, we delete your data within 30 days, unless the law requires us to keep it longer (for example issued invoices). On request, we hand over your data before deleting it.
10.Term and termination
The contract runs for an indefinite period with no minimum term. Either side can end it at the end of any calendar month by email.
Either side can end the contract with immediate effect for good cause, in particular if invoices remain unpaid after a reminder or the other side seriously breaches these terms.
11.Liability
We are liable without limitation for damage caused intentionally or through gross negligence. Otherwise, to the extent permitted by law, our liability is excluded; in any case it is limited to the fees you paid us in the 12 months before the damage occurred.
We are not liable for indirect damage or lost profit, nor for the services of third parties you use with Metal, such as your payment provider.
12.Rights
The platform and its software remain ours. You receive the right to use Metal for your business for the duration of the contract.
You grant us the right to host, process and display your content as far as needed to provide Metal.
We may name your business and show your logo as a reference. You can object to this at any time.
13.Changes to these terms
We announce changes to these terms at least 30 days in advance by email. If you do not object before they take effect, they apply from then on. If you object, either side can end the contract when the changes take effect.
14.Governing law and jurisdiction
Swiss law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The courts at our registered office have jurisdiction.
If a provision of these terms is invalid, the rest remain in force.
